Important: AskKEMP.ai is currently in Beta testing. Please read these terms carefully before using the platform.

1. Introduction

1.1 Welcome to AskKEMP.ai (the "Platform"), operated by AskKEMP.ai Limited ("We", "Us", or "Our").

1.2 By accessing or using the Beta version of the Platform, you ("You" or "User") agree to be bound by these Beta Test Disclaimer & Terms of Service ("Terms"). If You do not agree, You must not access or use the Platform.

2. Nature of the Beta Programme

2.1 You acknowledge and agree that:

  • a. The Platform is in Beta testing, an experimental phase, and is not a final product. It may contain bugs, errors, omissions, inaccuracies, or instability.
  • b. The Platform may experience downtime, interruptions, or delays without notice.
  • c. We reserve the right to modify, suspend, or discontinue the Platform (or any part thereof) at any time without notice or liability to You.

3. No Legal Advice

3.1 IMPORTANT: AskKEMP.ai is an artificial intelligence tool designed to assist legal professionals and researchers. It is not a law firm, solicitor, or barrister and does not provide legal advice.

3.2 You expressly acknowledge that:

  • a. Informational Purposes Only: All output, text, and data generated by the Platform ("Content") are for informational purposes only and do not constitute legal advice, strategic guidance, or professional opinion.
  • b. No Solicitor-Client Relationship: Your use of the Platform does not create a solicitor-client relationship. Communications with the Platform are not protected by legal professional privilege.
  • c. Duty to Verify: You must independently verify all Content. You should not rely on the Content without consulting a qualified legal practitioner licensed in the relevant jurisdiction. We assume no responsibility for actions taken or not taken based on the Content.

4. Disclaimer of Warranties

4.1 To the fullest extent permitted by Hong Kong law, the Platform is provided "AS IS" and "AS AVAILABLE".

4.2 We expressly disclaim all warranties, representations, and conditions of any kind, whether express or implied, including but not limited to:

  • a. Merchantability;
  • b. Fitness for a particular purpose;
  • c. Non-infringement;
  • d. Accuracy, completeness, or currency of the Content; and
  • e. Freedom from errors or "hallucinations" common to large language models.

5. Limitation of Liability

5.1 To the fullest extent permitted by Hong Kong law, We, Our affiliates, directors, officers, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to:

  • a. Loss of profits, goodwill, use, or data;
  • b. Damages arising from Your use or inability to use the Platform;
  • c. Reliance on any Content generated by the Platform;
  • d. Unauthorised access to or alteration of Your transmissions or data; or
  • e. Any other matter relating to the Platform.

5.2 In no event shall Our total liability exceed HKD 1,000 or the amount paid by You for using the Platform for the six months up to when the claim arises, whichever is lower.

6. User Responsibilities

6.1 You agree to:

  • a. Lawful Use: Use the Platform only for lawful purposes and in compliance with these Terms.
  • b. Authorised Data: Ensure You have the necessary rights, licences, and consents to input any data or queries into the Platform.
  • c. Confidentiality Risks: Acknowledge that inputting confidential, sensitive, or privileged information into the Platform carries inherent risks. You are solely responsible for assessing these risks and ensuring compliance with Your professional obligations regarding data privacy and client confidentiality.

7. Intellectual Property

7.1 Ownership: We retain all rights, title, and interest in and to the Platform, including all underlying software, algorithms, and technology.

7.2 Feedback: If You provide feedback, suggestions, or bug reports, You grant Us a perpetual, irrevocable, royalty-free, worldwide licence to use such feedback for any purpose without attribution or compensation to You.

8. Indemnification

8.1 You agree to indemnify, defend, and hold harmless Us and Our affiliates from and against any claims, actions, suits, or proceedings, as well as any losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or accruing from:

  • a. Your use of the Platform;
  • b. Your violation of these Terms; or
  • c. Your violation of any rights of another.

9. Governing Law and Jurisdiction

9.1 These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region ("Hong Kong").

9.2 You agree to submit to the exclusive jurisdiction of the courts of Hong Kong to resolve any dispute arising out of or in connection with these Terms or Your use of the Platform.

10. Miscellaneous

10.1 Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

10.2 Amendments: We reserve the right to amend these Terms at any time. Continued use of the Platform constitutes acceptance of the amended Terms.

10.3 Entire Agreement: These Terms constitute the entire agreement between You and Us regarding the use of the Platform during the Beta testing phase.
